Terms of Service

Welcome to FightStable. These Terms of Service (“Terms”) govern your use of the FightStable website, mobile applications, and related services (collectively, the “Platform”). By accessing or using the Platform, you agree to be bound by these Terms.

If you do not agree to these Terms, do not use the Platform.

1. About FightStable

FightStable is a software platform developed by FightTech Group to help boxing and combat sports gyms manage members, collect dues, communicate with athletes, and streamline gym operations.

FightStable provides technology only. We do not provide coaching, medical advice, legal advice, financial services, or athlete supervision.

2. Eligibility

You must be at least 18 years old to create a coach or gym administrator account.

If you create an account on behalf of a gym or organization, you represent that you have the authority to bind that organization to these Terms.

Athletes under the age of 18 may only access the Platform through a participating gym or organization that has obtained all required parental or legal guardian permissions.

3. Account Responsibilities

You agree to:

• Provide accurate information.
• Maintain the security of your account credentials.
• Promptly notify FightStable of unauthorized account access.
• Accept responsibility for all activity occurring under your account.

FightStable reserves the right to suspend or terminate accounts that violate these Terms.

4. Payments

FightStable enables gyms to collect membership dues and other authorized payments through third-party payment processors.

Payment processing is provided by Stripe or other authorized payment providers and is subject to their respective terms and policies.

FightStable:

• Does not hold customer funds.
• Does not determine refund policies for participating gyms.
• Is not responsible for disputes between gyms and their members regarding payments, refunds, memberships, or services.

Each gym is solely responsible for complying with applicable tax, accounting, and consumer protection laws.

5. Communications and Team Chat

FightStable includes communication tools designed to help coaches, staff, athletes, and members stay connected.

Users agree not to:

• Harass or threaten others.
• Share unlawful, abusive, discriminatory, or offensive content.
• Upload malicious software.
• Impersonate another individual.
• Use the Platform for illegal or fraudulent purposes.

FightStable may remove content or suspend accounts that violate these Terms.

FightStable may retain communications as necessary to operate the Platform, investigate abuse, comply with legal obligations, or improve our services.

Transactional SMS Messaging

If you opt in, FightStable may send transactional SMS messages related to gym membership payment reminders, overdue notices, and account-related alerts. SMS consent is optional and is not required to use FightStable. Message frequency may vary. Message and data rates may apply. Reply STOP to opt out or HELP for help. 6. Minors

Many FightStable users participate in youth sports.

Each participating gym, coach, or organization is solely responsible for:

• Obtaining all required parental or legal guardian consents.
• Supervising communications with minors.
• Complying with all applicable youth protection policies, SafeSport requirements, and governing body rules.
• Ensuring appropriate use of Team Chat and other communication features.

FightStable provides communication tools but does not supervise, monitor, or assume responsibility for interactions between users.

7. User Content

Users retain ownership of content they upload, including:

• Messages
• Images
• Videos
• Documents
• Member information
• Gym information

You grant FightStable a limited, non-exclusive license to host, store, process, transmit, and display such content solely for operating, maintaining, securing, and improving the Platform.

8. Intellectual Property

All software, trademarks, branding, graphics, logos, text, and technology associated with FightStable remain the property of FightTech Group or its licensors.

You may not:

• Copy the Platform.
• Reverse engineer the software.
• Sell or sublicense the Platform.
• Create derivative works without written permission.

9. Third-Party Services

FightStable integrates with third-party providers, including payment processors, communication providers, and cloud infrastructure services.

FightStable is not responsible for outages, policy changes, service interruptions, or actions taken by third-party providers.

10. Disclaimer

FightStable is a technology platform.

We do not guarantee:

• Athletic performance.
• Coaching outcomes.
• Athlete safety.
• Compliance with any sanctioning body or governing organization.
• Continuous or uninterrupted availability of the Platform.

The Platform is provided “as is” and “as available.”

11. Limitation of Liability

To the fullest extent permitted by law, FightTech Group and FightStable shall not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages arising from use of the Platform.

Our total liability for any claim shall not exceed the total amount paid by the claimant to FightStable during the twelve (12) months preceding the event giving rise to the claim.

12. Indemnification

You agree to indemnify and hold harmless FightTech Group, FightStable, its officers, employees, contractors, and affiliates from claims arising out of:

• Your use of the Platform.
• Your violation of these Terms.
• Your violation of applicable law.
• Your communications or content.
• Your operation of a gym or organization using the Platform.

13. Suspension and Termination

FightStable may suspend or terminate access to the Platform for violations of these Terms, misuse of the Platform, fraudulent activity, or conduct that may harm other users or the Platform.

Users may discontinue use of the Platform at any time.

14. Changes to These Terms

FightStable may modify these Terms from time to time.

Updated Terms will become effective upon posting. Continued use of the Platform constitutes acceptance of the revised Terms.

15. Governing Law

These Terms shall be governed by and construed under the laws of the State of Texas, without regard to conflict of law principles.

Any dispute arising from these Terms or the use of the Platform shall be resolved exclusively in the state or federal courts located in Texas, unless otherwise required by applicable law.
